+2 Tap Target Creature. That Creature does not untap during its controllers next untap step. At the begging of that players next upkeep that player loses 2 life.
-3 Chose one. Target Creature in your graveyard gains Unearth until the end of the turn. Its Unearth cost is equal to its mana cost. Target Instant or Sorcery in your graveyard gains Flashback until the end of the turn. Its Flashback cost is equal to its mana cost.
-10 You get an emblem with "Creatures in your graveyard gain Unearth. There Unearth cost is equal to there mana costs. Instants and Sorcery cards in your graveyard gain Flashback. There Flashback cost is equal to there mana cost. At the beginning of your upkeep pay if you cannot you lose the game."

his +2 seems a bit too strong. tapping a creature and losing 2 life?I think it would be more balanced when you lose the 2 life instead.
his -3 and -10 look awesome.but why that huge drawback paying the 3 mana or you lose the game?wouldn't it be better to just lose the emblem instead? becaus when you can get that emblem you are probably winning anyway.

I also agree with the fact that this feels more like grixis.and it's an awesome planeswalker :)

The +2 does two unrelated things, one should be dropped or they should be separated. It also seems unnecessary for the life loss to happen during the player's upkeep.
The wording on the -3 needs to include an "or" in between the unearth and flashback options to make it clear that those are the two choices. Also, considering the +2 has multiple effects I would say that the -3 should just do one thing.
Last, the ult needs a bit of work. It seems like this is intended for a psuedo control shell, and the ult not only restrains some of your resources each turn (which is not something you want as a control player) but it makes you lose the game if you can't pay. The effect is also redundant since the -3 already has the ability to do everything the ult does albeit with less consistency.
I really like the ideas here and overall this seems like it could be a pretty powerful walker, just needs to be refined a little. I would try to make it so every ability either does just one thing, or only one ability has multiple effects instead of all of them effectively having multiple effects.
I would try something like this:
starting loyalty 3
+1: Tap Target Creature. That Creature does not untap during its controllers next untap step.
+1: Target opponent loses 2 life.
-2: Target Creature in your graveyard gains Unearth until the end of the turn. Its Unearth cost is equal to its mana cost.
-6 You get an emblem with "Instants and Sorcery cards in your graveyard gain Flashback. There Flashback cost is equal to there mana cost."

Yeah +2 is really strong lol. The Drawback on the Ult is in away exactly as you put it. At this point you should be winning or won. If at that point the draw back is actully a draw back you messed up and you should just die.
